This Service Agreement ("Agreement") is between I am Emily Marketing Ltd. (“we”, “us”, “our”) and the client (“you”, “your”).

By digitally signing this agreement, ticking a consent box, replying in writing to confirm acceptance (via email), or verbally approving a project, you acknowledge and agree that this Agreement is legally binding. This applies to:
Online proposals
Email proposals
Verbal agreements
Signed contracts

We will confirm the details of your project and payment terms in writing (usually via email). An invoice will be sent once the deposit is due and/or on project completion, in line with the agreed terms.

Question 2

VAT INFORMATION

Accepted Answer

I am Emily Marketing Ltd. is VAT registered. Any costs and services from 09 January 2025 will incur VAT at the standard rate of 20%.

In some cases, you may receive invoices directly from third parties (e.g. printers, developers, or other freelancers) where this has been agreed in advance. This is to ensure that you are not charged VAT twice on the same service (once by us and once by the supplier). Where we handle third-party invoicing on your behalf, we will always agree this with you beforehand.

Question 3

PAYMENT TERMS

Accepted Answer

Deposits:
New clients: 50% deposit required before work begins.
Returning clients: 25% deposit required unless otherwise agreed.

Balance:
Remaining balance due within 14 days of the invoice date.
Late payments may incur interest in accordance with The Late Payment of Commercial Debts (Interest) Act 1998, updated 2013.

Hourly Work:
If charged by the hour, time sheets are available on request.
Any additional costs outside the agreed scope will be confirmed before being incurred.
Where work is ongoing, you may be billed at the end of each month for the hours taken.

Cancellation of Work in Progress:
If cancelled after work has commenced, you are liable for all hours worked to date.
These will be invoiced and must be paid within 14 days.

Debt Collection:
If payment is not received and debt collection is required, all associated fees will be added to your balance.

Question 4

PROJECT SCHEDULING & DEADLINES

Timelines and deadlines will be confirmed at the start of the project.
We strive to deliver on time and within budget, but we cannot be held responsible for delays caused by third parties or delays in receiving client content/feedback.

Question 5

NOTICE OF CANCELLATION

Accepted Answer

For ongoing projects, retainers, or management plans, one full calendar month’s written notice is required to cancel.

Question 6

SCOPE OF WORK & CHANGES

Accepted Answer

All work will be completed as per the agreed proposal/brief.
Any additional requests outside of the scope will be chargeable at our standard hourly rate or quoted separately.
Significant changes to the project scope may require a revised timeline and additional costs.

Question 7

INTELLECTUAL PROPERTY

Accepted Answer

Upon full payment, ownership of final deliverables (logos, design files, etc.) passes to you.
We retain the right to display completed work in our portfolio, website, and marketing materials unless you request otherwise in writing.
All working files, drafts, or unused concepts remain the property of I Am Emily Marketing unless otherwise agreed.

Question 8

USE OF COMPLETED WORK

Accepted Answer

We may showcase completed work on our website or social media for promotional purposes unless you notify us in writing at hello@iaemarketing.uk.

Question 9

DATA PROTECTION & GDPR COMPLIANCE

Accepted Answer

We store client data securely and only share with third parties where required for your project and with your permission.
All sensitive information (such as passwords) is stored in password-protected cloud systems accessible only to authorised team members.
You will be added to our database to receive email marketing but may opt out at any time.
You may request details of the data we hold or request deletion at any time.

Question 10

LIABILITY & WARRANTY

Accepted Answer

We take all reasonable care in delivering services; however, we cannot be held liable for:
Errors in content provided by you
Losses or damages arising from third-party software, platforms, or suppliers
Technical issues outside our control (e.g. hosting downtime, platform outages)

Our total liability under this Agreement will not exceed the total fees paid by you for the project.

Question 11

CONFIDENTIALITY

Both parties agree to maintain confidentiality regarding business, marketing, and financial information shared during the project.

If required, I am Emily Marketing Ltd. is happy to enter into a Non-Disclosure Agreement (NDA) to provide additional reassurance and protection for sensitive information.

Question 12

TERMINATION

Accepted Answer

We reserve the right to terminate this Agreement if:  
Payments are not made on time
There is a breach of contract
The working relationship becomes unworkable (written notice will be given)

AGREEMENT

By filling in the form and signing below, you confirm that you have read, understood, and agreed to the terms set out in this Service Agreement.

You acknowledge that this Agreement constitutes a legally binding contract between you (the client) and I am Emily Marketing Ltd. and that you are authorised to enter into this Agreement on behalf of yourself and/or your company.

By signing, you agree to proceed with the services as outlined in the relevant proposal, quotation, or correspondence and accept responsibility for any associated payments and obligations.
